Manager – Board and Governance

Job summary

This is a Mid-Level Leadership position to lead the institutional governance work of the orgnaisation.  Under the direct leadership of the Country Director s/he will implement and facilitate all processes related to internal governance. In addition, the incumbent will work with and provide all necessary support to ActionAid International Bangladesh Society (AAIBS), its Secretariat, its General Assembly (GA) and its Executive Board and Board Committees. The incumbent will organise all relevant internal and external meetings including the Board Meetings, Committee Meetings and Annual General Meetings. In order to do so, she/he will work in consultation with the Country Director, the AAIBS Board Chair, the respective Conveners of the Board Committees and/or the Members of the General Assembly and the Secretariat. The incumbent will be responsible to ensure all statutory, organizational and other relevant compliance requirements are met, including the registration of AAIBS with the RJSC and NGOAB and other Government or semi-Government bodies.


Key responsibilities include (not limited to)

 Internal Governance

  • Implement all processes of internal governance related to the Executive Board and General Assembly.
  • Coordinate between ActionAid International and Executive Board regarding the Board development process and other matters.
  • Liaise with regards to legal and administrative processes nationally and where applicable internationally.
  • Assist the Executive Board and General Assembly as and when required in all internal governance-related matters with appropriate research and analysis.
  • Organise all meetings of the Board, Board Committees, General Assembly and record and circulate minutes
  • Follow up with registration process and submit annual returns with RJSC and keep other compliance requirements up to date.
  • Support the management in capacity building and where relevant, in various internal procedural committees
  • Work with relevant legal counsels in both governance and organisational matters.

                                                                                         

Capacity Building and Networking 

  • Provide trainings to team members and LRP partners on local and international governance matters.
  • Coordinate with regional and international governance focal counterparts building strong network.


Relationships

S/he will report to the Country Director of ActionAid Bangladesh. S/he will maintain the relationship with ActionAid Bangladesh Executive Board Members. The incumbent will maintain liaison with ActionAid International/Federation Board and Governance unit and relevant staff. S/he is expected to maintain a functional relationship with other strategic and organisational priorities. S/he is expected to maintain the relationship with relevant Government and Non-government agencies at the national level. She/he will support all the Members of the Board and General Assembly, especially the Chair, Treasuerer and Committee Conveners.


Required qualification and competencies

  • Post-Graduation in Law is mandatory. Candidates having a Bar Professional Training Course will be given preference.
  • At least 6 (six) years of working experience in relevant field i.e., working with Executive Board, Board of Trustees as company secretary and/or having experience as corporate legal practitioner.
  • Ability to Support Board Chair and Board members with research and provide support to General Assembly as and when required, especially prior to organising General Assembly and post General Assembly.
  • Good administrative capabilities and team – working skills.
  •  A strong and committed leader with the potential to develop authority, credibility and visibility throughout the organisation.
  • Strategic decision-making ability.
  • Knowledge of country’s changing development landscape, emerging discourse and social, political, economic and legal framework.
  • Understanding on Human Right Based Approach.
  • Excellent in producing briefs, organise and minute meeting independently.
  • Excellent facilitation skills.
  • A commitment to develop, promote and practice ActionAid’s vision, mission, values and strategy.
  • Negotiation skill, motivational skill, team building skill is required.  
  • Gender and child sensitivity.
  • Organised, detailed oriented with the ability to multitask under pressure and deadlines.
  • Good interpersonal skills.
  • Excellent communication and report writing skills both in English and Bangla, whereas proficiency in English is a must.
